DHS GATOR PRIDE BOOSTER CLUB
CONSTITUTION & BYLAWS

 

ARTICLE 1 - OBJECTIVE

​

SECTION 1

The objective of the GATOR PRIDE BOOSTER CLUB shall be to establish an organization that is formed to help support the efforts of a Dickinson Independent School District and Dickinson Athletics. The GATOR PRIDE BOOSTER CLUB shall provide this support through organizing and volunteering time,

fundraising and financial assistance to better enhance Dickinson ISD’s student athlete’s academic excellence and athletic performance.

 

SECTION 2

To achieve this objective the DHS GATOR PRIDE BOOSTER CLUB will provide a its support through supervised programs under the guidance of the University Interscholastic League (UIL). All Directors, Officers and Members shall bear in mind that the attainment of exceptional athletic skill or winning of games is secondary, and the molding of future citizens and the academic success of student athletes is of prime importance. In accordance with the Federal Internal Revenue Code, the DHS GATOR PRIDE BOOSTER CLUB shall operate exclusively as a nonprofit educational support organization providing volunteerism as well as financial assistance to Dickinson Independent School District. No part of the net earnings shall inure to benefit of an individual; no substantial part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation, and which does not participate in or intervene in any political campaign on behalf of any candidate for public office.

 

ARTICLE Il – MEMBERSHIP

SECTION I

Eligibility - Any person sincerely interested in actively participating to affect the objective of DHS Gator Pride Booster Club may apply to become a member.

 

SECTION 2

(a) General Membership - Any person actively interested in furthering the objectives of the DHS GATOR PRIDE BOOSTER CLUB may become a “Member” upon election as hereinafter provided. The secretary shall maintain the rolls of membership to qualify voting members. Only members in good standing are eligible to vote at the annual meeting and the annual Board of Directors elections. All Officers and Board Members, and other elected or appointed officials must be active Members in good standing.

 

(b) Members in good standing shall be defined as any member who actively participates in club activities, meetings and events. Members in good standing shall have met their annual dues obligation to maintain their standing.

 

(c) Advisory Members - Administrators, Coaches and/or Sponsors from Dickinson Independent School District can serve as general members of the DHS GATOR PRIDE BOOSTER CLUB in an “advisory” capacity only. Administrators, Coaches and/or Sponsors shall not be voting members of the DHS GATOR PRIDE BOOSTER CLUB, nor shall Administrators, Coaches and/or Sponsors at any time serve in any capacity on the DHS GATOR PRIDE BOOSTER CLUB Board of Directors.

 

(d) Board of Directors - As used hereafter, the word "Board" shall mean the DHS GATOR PRIDE BOOSTER CLUB Board of Directors. For the purposes of this Constitution and By Laws, individuals serving as a member of the Board of Directors shall also be considered as a General Member and be subject the annual dues obligation.

SECTION 3

Suspension or Termination.

​

(a) The Board of Directors, by two-thirds vote at any duly constituted meeting, shall have the authority to discipline, suspend, or terminate any Member when the conduct of such person is considered detrimental to the best interests of the DHS GATOR PRIDE BOOSTER CLUB. The Member involved shall be notified of such meeting, informed of the general nature of the charges and given an opportunity to appear at the meeting to answer such charges.

 

(b) The Members shall have the right to call a Special Meeting (Article IV, section 3) for the purpose of removing any member(s) of the Board of Directors when the conduct of such person(s) is

considered detrimental to the best interests of the DHS GATOR PRIDE BOOSTER CLUB. A majority of the Members must be present and a majority vote by secret ballot of those present is required to take any action. The person(s) charged must be given the opportunity to defend themselves prior to the vote. It is recommended that a Dickinson Independent School District representative or sponsor/coach be present at the meeting. Administrators, Coaches and/or Sponsors serving as advisory members can participate as DISD representatives for the purpose this section.

ARTICLE III - DUES

​

SECTION 1

Dues for Members may be fixed at such amounts as the Board of Directors shall determine prior to the beginning of any membership period. Generally, membership dues shall be set during and prior to the Club’s annual budget approval meeting.

 

ARTICLE IV- MEETINGS FOR MEMBERS

SECTION 1

Meetings. 

Members of the DHS GATOR PRIDE BOOSTER CLUB shall meet regularly to discuss the business and goings on of the Club. Meetings of the Board of Directors shall be whenever and as frequent as necessary, however, the Board of Directors shall meet at least once per month on a day determined by the Board.

 

SECTION 2

Notice of Meeting. 

Notice of each Meeting of the Members shall be made at least 5 days prior to any meeting being held. Notice shall be provided via any media regularly used by the Board or Membership for Member communication.

 

SECTION 3

Special Meetings. 

Special meetings of the Members may be called by the Board of Directors at their discretion. Upon the request of five (5) Members, the President shall call a Special Meeting to consider a specific subject. Notice of a Special Meeting shall be given by the Secretary to each Director, or by telephone or other means by which the Board regularly communicates twenty-four hours preceding the meeting. No business other than that specified in the notice of the meeting shall be transacted at any special meeting of the Members.

 

SECTION 4

Quorum. 

The presence in person or representation by absentee ballot of one-third of the Members, or a percentage acceptable to the DHS GATOR PRIDE BOOSTER CLUB shall be necessary to constitute a quorum.

 

SECTION 5

Voting. 

Only General Members shall be entitled to vote at any membership meeting and in Board elections of the DHS GATOR PRIDE BOOSTER CLUB.

 

SECTION 6

Rules of Order. 

Robert's Rules of Order shall govern the proceedings of all meetings, except where same conflicts with the Constitution of Bylaws of DHS GATOR PRIDE BOOSTER CLUB.

 

ARTICLE V - BOARD OF DIRECTORS

SECTION l

Board and Number. 

The management of the property and affairs of DHS GATOR PRIDE BOOSTER CLUB shall be vested in the Board of Directors. The number of Directors shall not be less than ten or more than 20. The Directors shall, no later than November 1, enter upon the performance of their duties and shall continue in office until their successors shall have been duly elected and installed. There shall be no limit placed on the number of General Members allowed to serve in the DHSGATOR PRIDE BOOSTER CLUB.

 

SECTION 2

Annual Election and Term of Office. 

Prior to or during the first meeting in the month of May on dates set forth by the Board of Directors, elections will be held for the Board of Directors. All elections of Directors shall be by majority vote of all General Members who wish to cast a ballot. The results of the elections will be announced during the May meeting of the Board. The Board Elect will assume control of DHS GATOR PRIDE BOOSTER CLUB at the scheduled regular meeting in the month of August.

 

SECTION 3

Vacancies. 

If any vacancy occurs in the Board of Directors, by death, resignations or otherwise, it may be filled by a majority vote of the remaining Directors at any regular meeting or at any special meeting called for that purpose.

 

SECTION 4

Duties and Power. 

The Board of Directors shall have the power to appoint such standing committees as it shall determine appropriate and to delegate such powers to them as the Board shall deem advisable and which it may properly delegate. The Board may adopt such rules and regulations for the conduct of its meetings and the management of the Club as it deems proper. The Board of Directors shall appoint an Auditing Committee consisting of three Directors. The President of the DHS GATOR PRIDE BOOSTER CLUB shall not serve or otherwise participate on the auditing committee.

 

The Committee will review the DHS GATOR PRIDE BOOSTER CLUB’s books and records annually prior to the December meeting and attach a statement of their findings to the annual financial statement to the President and Treasurer. The President or Treasurer may, if directed or approved, by the Board or Membership, utilize the services of a Certified Public Accountant to accomplish such review.

 

The Treasurer shall provide to the Board of Directors at least once a month a statement or report of the current budget. Also, the Concession Director, or responsible party shall provide to the Treasurer a monthly statement and/or during any active season or event weekly reports of concession incoming and outgoing finances.

 

The Board shall have the power by two-thirds vote at any regular or special meetings to discipline, suspend or remove any Director, Officer or Committee member of DHS GATOR PRIDE BOOSTER CLUB in accordance with the procedure set forth in Article II, Section 3(a).

 

The Membership shall receive at the December meeting of the Members of DHS GATOR PRIDE BOOSTER CLUB a report verified by the President and Treasurer, or a majority of the Directors, showing the financial standings. This report shall contain disclosure of all incomes and expenditures during the year and will be filed in the official DHS GATOR PRIDE BOOSTER CLUB records and placed in the minutes of the December Meeting.

 

A copy of such report shall be forwarded to a designated Dickinson Independent School District Administrator, Coach and/or Sponsor to be determined by the presiding DISD Superintendent.

 

ARTICLE VI - OFFICERS, DUTIES AND POWERS

 

SECTION 1

ELECTION. 

Immediately following their installation to the Board of Directors, provided there is a quorum present, the Directors shall meet for the purpose of electing Officers and appointing committees for the ensuing year, under NO circumstances shall members of the same household hold an Officers position nor be a signatory of the Club checking account.

 

SECTION 2

OFFICERS. 

The Officers of the DHS GATOR PRIDE BOOSTER CLUB shall consist of a President, one or more Vice Presidents, a Secretary, and a Treasurer, all of whom shall hold office for the ensuing year or until their successors are duly elected.

 

The Board may appoint such other committees, committee chairs, or agents as it may deem necessary or desirable and may prescribe the powers and duties of each and may fill any vacancy which may occur in any office.

 

Appointed Officers or agents shall have no vote in actions taken by the Board of Directors unless such individuals have been elected to the Board by the Membership or have been elected to fill a vacancy on the Board.

 

SECTION 3

PRESIDENT. 

The President shall:

(a) Conduct the affairs of DHS GATOR PRIDE BOOSTER CLUB and execute the policies established by the Board of Directors.

 

(b) The office of President for the DHS GATOR PRIDE BOOSTER shall not be a full-time employee of the Dickinson Independent School District.

 

(c) Present a report on the condition of DHS GATOR PRIDE BOOSTER CLUB at the December meeting.

 

(d) Communicate to the Board of Directors, such matters as deemed appropriate, and make such suggestions as may tend to promote the welfare of DHS GATOR PRIDE BOOSTER CLUB

 

(e) Be responsible for the conduct of DHS GATOR PRIDE BOOSTER CLUB in strict conformity to the policies, principles, rules, regulations, and guidelines of the University Interscholastic League.

 

(f) Designate in writing, other Officers if necessary, to have power to make and execute for/and in the name of DHS GATOR PRIDE BOOSTER CLUB such contracts and leases they may receive, and which have had prior approval of the Board of Directors and/or General Membership.

 

(g) Investigate complaints, irregularities, and conditions detrimental to DHS GATOR PRIDE BOOSTER CLUB and report thereon to the Board as circumstances warrant.

 

(h) Prepare and submit an annual budget to the Board of Directors and be responsible for the proper adherence to and execution thereof.

 

SECTION 4

VICE-PRESIDENT.

In case of the absence or disability of the President, and provided authorization by the Board to so act, the Vice-President shall perform the duties of the President, and when so acting, shall have all the powers of that office, and shall have such other duties as from time to time may be assigned by the President and/or Board of Directors.

 

SECTION 5

SECRETARY.

The Secretary shall:

(a) Be responsible for recording the activities of DHS GATOR PRIDE BOOSTER CLUB and maintaining appropriate files, mailing lists and necessary records.

 

(b) Perform such duties as are herein specifically set forth, in addition to such other duties as are customarily incident to the office of Secretary or as may be assigned by the Board of Directors.

 

(c) Maintain a list of all Regular Members, Directors and committee members and give notice of all meetings of the Club, Board of Directors and Committees.

 

(d) Keep the minutes of meetings of the Members and Board of Directors and cause them to be recorded in a book kept for that purpose.

 

(e) Shall conduct all correspondence not otherwise specifically delegated in connection with said meeting and shall be responsible for carrying out all orders, roles and resolutions not otherwise

committed.

 

(f) Notify Members, Directors, Officers and committee members of their election or appointment.

 

(g) Shall, at the termination of duties, turn all records, files and rosters over to their replacement on the Board of Directors.

 

(h) Shall issue membership cards to General Members.

 

SECTION 6

TREASURER.

The Treasurer shall:

(a) Perform such duties as are herein set forth and such other duties as are customarily incident to the Office of Treasurer or may be assigned by the Board of Directors.

 

(b) The Treasurer position for the DHS GATOR PRIDE BOOSTER may not be a full-time employee of the Dickinson Independent School District.

 

(c) Receive all Monies and securities, and deposit same in a depository approved by the Board of Directors.

 

(d) Keep records for the receipt and disbursement of all monies and securities of DHS GATOR PRIDE BOOSTER CLUB, approve all payments from allotted funds and draw checks thereof in agreement with policies established in advance of such actions by the Board of Directors.

 

(e) Prepare an annual financial report, under the direction of the President, for submission to the Membership and the Board of Directors at the December meeting.

 

(f) Provide within 10 days after-written notice bank Statements, check book receipts or any other document related to DHS GATOR PRIDE BOOSTER CLUB monies to the Board of Directors.

 

ARTICLE VIII - AFFILIATION

​

SECTION 1

DHS GATOR PRIDE BOOSTER CLUB shall be affiliated to Dickinson Independent School District and all schools and athletic activities administrated therein. At no time shall the DHS GATOR PRIDE BOOSTER CLUB use club funds to the benefit of any other school district or party without joint benefit to Dickinson Independent School District, DISD attendees or athletes, unless approved by the Board of Directors or Members. Such approval should be accompanied, but not required, by express written advisement of an Administrator or the Athletic Director of Dickinson High School.

 

SECTION2

Guidelines. 

The DHS GATOR PRIDE BOOSTER CLUB shall operate under the Laws of the State of Texas and shall strictly follow published guidelines of the University Interscholastic League.

 

ARTICLE IX - FINANCIAL AND ACCOUNTING

​

SECTION I

The Board of Directors shall decide all matters pertaining to the finances of DHS GATOR PRIDE BOOSTER CLUB and it shall place all income in a common club treasury, directing the expenditure of same in such manner as will benefit the attendees and athletes of Dickinson Independent SchoolDistrict.

 

SECTION 2

The Board shall not permit the solicitation of funds in the name of Dickinson Independent School District unless approved in writing by an Administrator, Coach and/or Sponsor possessing the authority to grant such solicitations.

 

SECTION 3

The Board shall not permit the disbursement of DHS GATOR PRIDE BOOSTER CLUB funds for other than the conduct of DHS GATOR PRIDE BOOSTER CLUB activities in accordance with the rules, guidelines and policies of the University Interscholastic League of Texas.

 

SECTION 4

No Director, Officer, or Member of DHS GATOR PRIDE BOOSTER CLUB shall receive, directly or indirectly any salary, compensation or emolument from DHS GATOR PRIDE BOOSTER CLUB for services rendered as Director, Officer or Member.

 

Directors, Officers, and/or Members shall be reimbursed as necessary from time to time should that director, officer and/or member incur expenses in the course of regular business of the DHS GATOR PRIDE BOOSTER CLUB during activities approved by the Board of Directors. Should a member incur a reimbursable expense on behalf of the DHS GATOR PRIDE BOOSTER CLUB, that member SHALL NOT be eligible for reimbursement for that expense should that member NOT have received prior authority for the expenditure from the Club’s President or Treasurer.

 

SECTION 5

All monies received shall be deposited to the credit of DHS GATOR PRIDE BOOSTER CLUB in an approved depository and all disbursement shall be made by check, debit card or petty cash. All checks may be signed by the treasurer of DHS GATOR PRIDE BOOSTER CLUB and any such other officer or officers or person or persons as the Board of Directors shall determine. The President shall NOT have authority to sign checks or drafts. At no time shall any party or signer from, to, or a party of, be related by blood, marriage or members of the same household. 

 

Petty Cash shall not be more than two hundred dollars and all transactions of petty cash must have receipt(s) of purchase(s}. The Concession Director, Treasurer or other party so directed, shall oversee the Petty Cash Fund and monthly or whenever needed provide the Treasurer with the receipts of purchases. Full-time employees of Dickinson Independent School District shall not be authorized to sign on any DHS GATOR PRIDE BOOSTER CLUB account. District substitutes and part-time employees shall be eligible to hold office and be appointed as signatory on booster club accounts provided that District substitutes or part-time employees release all financial authority should they become full-time employees of Dickinson Independent School District.

 

SECTION 6

The fiscal year for DHS GATOR PRIDE BOOSTER CLUB shall begin on the first day of July and shall end on the last day of June.

 

SECTION 7

Distribution of Property upon Dissolution. 

Upon dissolution of the DHS GATOR PRIDE BOOSTER CLUB and after all outstanding debts and claims have been satisfied, the Members shall direct any and all remaining property of the DHS GATOR PRIDE BOOSTER CLUB to another Federally Incorporated entity which maintains the same objectives as set forth herein, which are or may be entitled to exemption under Section 501(c)(3) of the Internal Revenue Code

or any future corresponding provision.

 

ARTICLE X · AMENDMENTS

​

This Constitution and By-Laws may be amended, repealed, or altered in whole or in part by a 2/3rds majority vote at any duly organized meeting of the Members and the Board of Directors provided notice of and the proposed change is included in the notice of such meeting.

 

ARTICLE Xl - ADOPTION AND APPROVAL

​

This Constitution and By-Laws of the DHS GATOR PRIDE BOOSTER CLUB shall be considered adopted and approved upon the signatures below of the duly elected Board. Signatures will be kept on file by Secretary each year proceeding elections.
